PUBLIC OFFER For Using the «Payment Monitoring» Service

This document is an official offer (public offer) by JSC "Brio Group" (hereinafter referred to as the System) to individuals holding EMV plastic bank cards (hereinafter referred to as the User) to conclude a service agreement for the use of the "Payment Monitoring" Service (hereinafter referred to as the Agreement) within the "OSON" Application.

By performing the actions specified in this Offer, the User unconditionally agrees to the terms set forth below (acceptance of the Offer). From the moment the Offer is accepted, the Agreement is deemed concluded.

In all matters not explicitly provided for in the Agreement, the parties shall be guided by the current legislation of the Republic of Uzbekistan and business customs.

1. TERMS AND DEFINITIONS

Service/"Payment Monitoring" Service – a set of informational and technological solutions, developed and owned by JSC "Brio Group" (operating under the OSON™ trademark), enabling the User to access information about all transactions performed using the bank card, view expense/income statistics, and perform other actions as provided by the functionality of the Service.

User – a capable individual, holder of an EMV plastic bank card registered in the "OSON" Application and who has activated the "Payment Monitoring" Service.

Bank Card (Plastic Card) – a payment card operating online, issued by a bank of the Republic of Uzbekistan and registered in the "OSON" Application.

Mobile Device – a technical device owned or used by the User that enables the installation and use of the "OSON" mobile application to access the Service.

2. TERMS OF ACCEPTANCE

2.1. Acceptance of this Offer and agreement to the terms of the Service is carried out by activating the Service in the "OSON" Application (the "Enable Monitoring" button in the "OSON" Application interface).

2.2. If you do not agree with the terms below, please refrain from using the Service.

3. SUBJECT OF THE AGREEMENT

3.1. The System provides Users of EMV plastic cards with the opportunity to use the "Payment Monitoring" Service, enabling the User to access information about all transactions performed using the bank card, view expense/income statistics, and perform other actions as provided by the functionality of the Service.

3.2. The Service operates within the "OSON" Application, available on iOS, Android platforms, and via the web at www.oson.com. The Service is available only to individuals registered in the "OSON" Application.

3.3. In order to ensure the secure use of the "OSON" Application, protect the User's funds, prevent unauthorized access, and comply with the legislation of the Republic of Uzbekistan, the System reserves the right to automatically disable the "Payment Monitoring" Service when the User registers or logs into an existing account from a new mobile device.

3.4. The automatic disabling of the "Payment Monitoring" Service in the cases specified in Clause 3.3 of this Agreement does not constitute a termination of services at the initiative of the System and is carried out solely for the purpose of ensuring information security.

4. COST OF SERVICES AND PAYMENT PROCEDURE

4.1. The cost of the Service for Users is set at 1000 (one thousand) UZS per month for each bank card.

4.2. Funds are automatically debited from the User's bank card registered in the "OSON" Application upon the initial activation of the Service, as well as upon each subsequent reactivation of the Service following its automatic deactivation in the cases provided for in this Offer. Subsequently, the fee for using the Service is charged on a prepaid basis on the 1st (first) day of each calendar month. The fee for using the Service for the first calendar month is charged in full, regardless of the date of the initial activation or reactivation of the Service.

4.3. The Service is tied to the User's account in the "OSON" Application, and the payment is debited from the User's card marked as the "primary" card. If there are insufficient funds on the "primary" card, the payment is debited from any other card registered in the User’s account, provided its balance is sufficient to cover the Service fee.

4.4. Payment is debited only if the balance of the card being debited equals or exceeds the Service fee.

4.5. If the balance of the User’s card(s) is insufficient to cover the Service fee (the balance of each card is less than the Service fee), the Service remains accessible for 10 days. If the card(s) balance is not replenished to the required amount within this period, the Service becomes unavailable to the User.

4.6. The Service is reinstated once the card(s) balance is replenished to the required amount and the Service fee is debited. The fee is charged for the current period (from the moment the Service is activated for the User) and does not include the period during which the Service was suspended due to insufficient funds.

4.7. Following the automatic deactivation of the "Payment Monitoring" Service resulting from the User registering or logging into an existing account from a new mobile device, the Service may be reactivated at the User's initiative on a paid basis in accordance with the System's applicable Tariffs.

5. OBLIGATIONS OF THE PARTIES

5.1. The System undertakes to: Ensure uninterrupted access to the Service; Maintain the confidentiality of the User’s personal data obtained by the System in the course of providing the Service.

5.2. The User undertakes to: Comply with the terms of this Offer; Independently ensure the informational security of the device used to access the Service; Not use the Service for illegal purposes.

5.3. The User agrees that upon registration or logging into an existing account from a new mobile device, the "Payment Monitoring" Service may be automatically disabled without separate notification.

5.4. The System reserves the right to unilaterally amend this Offer by notifying the User via publication of the changes on the System’s website and informational messages in the Service interface within the "OSON" Application.

6. RESPONSIBILITIES OF THE PARTIES

6.1. The Parties are liable for failure to fulfill or improper fulfillment of the terms of this Agreement in accordance with the legislation of the Republic of Uzbekistan.

6.2. The User is responsible for any losses or other negative consequences arising from the failure to fulfill or improper fulfillment of their obligations under this Agreement.

6.3. The User assumes full responsibility for the security of their personal data when entering it on a device using unsecured connections or when such data is at risk from malicious programs and applications.

6.4. The System shall not be held liable for improper fulfillment of the terms of the Agreement if such non-fulfillment was caused by the User's failure to comply with the terms of the Agreement.

6.5. The System shall not be liable for any losses incurred by the User due to their failure to familiarize themselves or promptly familiarize themselves with the terms of this Offer.

6.6. The System shall not be held liable for improper fulfillment of the terms of the Agreement if such non-fulfillment was caused by reasons beyond the System's control. The System's control is limited to ensuring the accuracy of information obtained through the Service and does not include responsibility for malfunctions caused by third parties or restrictions imposed by state or judicial authorities.

6.7. Automatic deactivation of the "Payment Monitoring" Service, carried out in the cases provided for in this Agreement, shall not be deemed a breach of the System’s obligations and shall not constitute grounds for the User to claim compensation for losses, a refund of funds, or the application of other liability measures.

6.8. The Parties shall be released from liability for failure to fulfill or improper fulfillment of obligations under the Agreement if such failure is the result of force majeure circumstances that occurred after the Agreement was concluded and were caused by extraordinary events that the Party could neither foresee nor prevent through reasonable measures (force majeure).

7. TERMINATION OF THE AGREEMENT

7.1. The User may terminate the Agreement at any time by disabling the Service in the "OSON" Application (the "Disable Monitoring" button in the "OSON" Application interface).

7.2. The Agreement is considered terminated immediately after the Service is disabled. In this case, the amount deducted from the User's plastic card registered in the "OSON" Application as a prepayment for the current period is non-refundable.

7.3. The temporary suspension or automatic deactivation of the Service due to a lack of funds, or resulting from the User registering or logging into an existing account from a new mobile device—as well as in other cases provided for in this Offer—does not constitute termination of this Agreement.

7.4. The Service will not be automatically disabled if the User deletes their account in the "OSON" Application, under which the Service operates. Termination of the Agreement is carried out only in accordance with clause 7.1. of this Offer.

8. PROCEDURE FOR SETTLEMENT OF DISPUTES

8.1. Any dispute arising from this Agreement shall be resolved amicably or through a claim procedure based on the User's written application. The period for consideration of the application and the requirements for its content shall be determined by the current legislation of the Republic of Uzbekistan.

8.2. If the dispute cannot be resolved through a claim procedure, it shall be submitted for consideration to the competent court at the location of the respondent in accordance with the procedure established by the current legislation of the Republic of Uzbekistan.

9. OTHER TERMS

9.1. In all matters not explicitly provided for in the Agreement, the parties shall be guided by the current legislation of the Republic of Uzbekistan and business customs.

9.2. By accepting this Offer, the User confirms their unconditional agreement with all the terms of the Agreement and undertakes to comply with them.

9.3. The User acknowledges that the automatic deactivation of the "Payment Monitoring" Service upon registration or logging into an existing account from a new mobile device is an information security measure designed to prevent the unauthorized use of bank cards and protect the User's interests, and consents to the System applying such measures without obtaining additional consent.
